Contrat

  • Les présentes conditions générales d’utilisation constituent les relations commerciales qui lient le Client à Gammadia SA (ci-après également « le Fournisseur »).
  • Le Client bénéficie, par l’acceptation des présentes conditions générales, de l’accès aux outils développés par Gammadia SA, selon le logiciel et les modules choisis.
  • Les présentes conditions générales d’utilisation ont pour objet de définir les conditions d’utilisation par le Client de l’application tipee, à savoir la fourniture du logiciel et son utilisation via Internet, l’hébergement des données du Client, et les modalités de support et d’assistance fournis au Client.

Fourniture et utilisation du logiciel

  • Pendant la durée du contrat, le Fournisseur met à la disposition du Client le logiciel tipee dans sa version actuelle. Dans ce but, il stocke le logiciel sur une plateforme mutualisée accessible par le Client via Internet.
  • Le Fournisseur développe régulièrement le logiciel et l’améliore par des mises à jour tant fonctionnelles que des mises à niveau technologiques. Il veille également à éliminer les erreurs logicielles en fonction des possibilités techniques.

Droit d’utilisation

  • Le Fournisseur accorde au Client, pour la durée du contrat, un droit non exclusif et non transférable d’utilisation du logiciel tipee, conformément au présent contrat.
  • Le Client n’est pas autorisé à reproduire ni modifier le logiciel, ni à le mettre à disposition de tiers que ce soit contre paiement ou même gratuitement.
  • Tous les droits de propriété intellectuelle sur le logiciel Tipee restent la propriété exclusive du Fournisseur. Ceci s’applique également pour les développements sur mesure ou paramétrisations spécifiques demandés par le Client.

Hébergement des données

  • Le Fournisseur met à la disposition du Client un espace pour le stockage de ses données liées à l’utilisation de l’application.
  • Le Fournisseur veille à ce que les données stockées soient accessibles par Internet dans le cadre des possibilités techniques.
  • Le Fournisseur prend des mesures organisationnelles et techniques raisonnables contre la perte de données et l’accès non autorisé par des tiers à ces données. La description de ces mesures peut être consultée sur le site Internet du Fournisseur.
  • Le Client s’engage à ne stocker aucun contenu sur l’espace de stockage dont le traitement violerait une loi applicable ou des accords convenus avec le Fournisseur ou des tiers.
  • Si le Client enfreint l’une ou l’autre de ses obligations contractuelles ou légales, ou s’il existe des raisons fondées de penser que les données stockées sont illégales ou portent atteinte aux droits des tiers, le Fournisseur est autorisé à restreindre ou à bloquer, temporairement ou définitivement, l’accès à l’application. Par raison fondée en matière d’illégalité ou de violation des droits d’autrui, il faut comprendre les démarches entreprises par les tribunaux, les autorités ou des personnes concernées. Le Fournisseur doit informer immédiatement le Client de toute restriction.
  • Le Client est l’unique propriétaire des données et peut donc exiger du Fournisseur, pendant toute la durée du contrat, qu’il les lui transmette totalement ou partiellement sans qu’un droit de rétention ne puisse être invoqué par le Fournisseur. La communication des données se fait par transmission via un réseau de données, dans le format utilisé par le Fournisseur. Le Fournisseur est en droit d’exiger une indemnité de frais pour la communication des données si la récurrence des demandes ou des exigences particulières du Client impliquent des efforts importants.

Obligations du Fournisseur

  • Les adaptations, modifications ou tout opération de maintenance du logiciel tipee ne doivent conduire à une interruption ou à une déficience d’accessibilité temporaire que si cela s’avère nécessaire pour des raisons techniques. Dans la mesure du possible, le Fournisseur avisera le Client au minimum deux jours avant toute intervention panifiable.
  • En cas de panne sévère, soit si l’utilisation du logiciel n’est plus possible ou sévèrement limitée, les opérations de rétablissement du service ont en règle générale lieu dans un délai de deux heures après la constatation du problème. Le Fournisseur s’efforce de garantir la disponibilité la plus élevée de son logiciel tipee.

Obligations du Client

  • Le Client s’engage à utiliser le logiciel tipee exclusivement aux fins prévues par le contrat. Il est seul responsable des contenus que lui-même et ses utilisateurs génèrent, transmettent ou utilisent à l’aide du logiciel tipee.
  • Le Client est responsable de la configuration système et des prérequis techniques, notamment au niveau du matériel, du navigateur Internet et des connexions réseaux nécessaires à l’utilisation de tipee
  • Le Client est tenu d’empêcher l’accès non autorisé par des tiers en prenant les précautions appropriées. Il veille notamment à sensibiliser son personnel sur la bonne utilisation d’applications logicielles via Internet et de l’importance d’une gestion rigoureuse de leurs identifiants de connexion.
  • Le Client s’engage à respecter un usage conforme des droits d’accès à l’application. Par conséquent, le Client prend note du fait qu’il lui est interdit de créer des accès génériques pour ses utilisateurs et veille également à ce que son personnel ne partage par leurs informations de connexion.

Support technique et assistance

  • Le Fournisseur répond aux demandes du Client en rapport avec l’utilisation du logiciel les jours ouvrables du lundi au vendredi de 9h00 à 12h00 et de 13h00 à 17h00.
  • Les demandes sont traitées dans les meilleurs délais. Un éventuel retard dans le traitement des demandes ne pourra donner lieu au versement de dommages-intérêts, ou à l’application de pénalités.
  • L’assistance offerte ne concerne pas les logiciels et les services proposés par des tiers (par exemple : interfaces avec d’autres applications). Ces derniers seront couverts par une offre séparée.

Tarifs

  • L’abonnement est facturé annuellement dès la mise en service. Il inclut le droit d’utiliser la technologie, la recherche et le développement, la correction des bugs, les nouvelles versions, le support technique et le forfait de maintenance technique couvrant l’ensemble des interventions nécessaires à garantir le bon fonctionnement de nos applications. L’hébergement, les sauvegardes et les certificats de sécurité sont également inclus dans l’abonnement. Sont exclus et facturés selon l’article ci-dessous (demandes hors contrat): les modifications ou ajouts spécifiques demandés par le Client ou par des tiers, le fonctionnement du matériel informatique (serveurs, ordinateurs, imprimantes, etc.) et des réseaux et autres connexions internet, les conséquences liées au mauvais fonctionnement du matériel informatique ou du réseau.
  • Le tarif de l’abonnement annuel est adapté d’année en année en fonction de l’évolution des effectifs du Client. En cas d’augmentation, le volume additionnel est également facturé selon les tarifs de l’offre. En cas de réduction, le prix de l’abonnement sera revu à la baisse.

Demandes hors contrat

  • Toutes les interventions de programmation, de formation ou de maintenance technique non prévues dans les présentes conditions générales, de même que l’intégration et la récupération de données, sont facturées selon les tarifs ci-dessous:
  • Formation et accompagnement : CHF 180.-/heure
  • Déplacements : CHF 140.-/heure
  • Consulting et développements : CHF 250.-/heure.

Facturation et paiement

  • Les prestations sont facturées en francs suisses à l’installation et payables à 30 jours à compter de l’émission de la facture.
  • TVA : nos prestations et nos produits s’entendent hors taxe et sont assujettis à la taxe sur la valeur ajoutée en vigueur qui sera facturée au Client, en sus.

Révision des tarifs

  • Le Fournisseur se réserve le droit de modifier les conditions tarifaires de ses abonnements annuels, de ses applications, et de ses services pour la prochaine échéance contractuelle. Le Fournisseur communiquera les modifications des tarifs à l’avance et de manière appropriée. A défaut de contestation écrite par le Client dans un délai de 30 jours à compter de leur communication, la révision des tarifs est présumée acceptée.

Retard ou défaut de paiement

  • En cas de défaut de paiement à la date d’exigibilité de la facture, le Fournisseur adressera par pli recommandé une mise en demeure au Client, de s’exécuter dans un délai de 10 jours.
  • Le Fournisseur se réserve le droit d’appliquer des intérêts de retard qui seront calculés à compter de la date d’exigibilité de la facture au taux de 5% l’an, auxquels pourront s’ajouter un montant au titre de frais de recouvrement et frais de poursuite.
  • Le Fournisseur est en droit de suspendre l’utilisation de tout ou partie du logiciel jusqu’au paiement intégral des factures ou de résilier le contrat avec effet immédiat pour justes motifs.

Garantie et Responsabilité

  • Le Fournisseur garantit le bon fonctionnement de son logiciel, dans les limites de la loi et des présentes conditions générales.
  • Le Fournisseur décline toute responsabilité envers le Client dans l’accomplissement de ses obligations contractuelles ou pour la perte de données. Cette exclusion est également valable pour le dommage résultant directement ou indirectement de l’utilisation du logiciel.
  • De façon générale, le Fournisseur décline toute responsabilité pour les dommages directs et indirects causés par le mauvais fonctionnement des logiciels mis à disposition.
  • Le Fournisseur décline toute responsabilité pour les dommages directs et indirects causés par une utilisation non conforme des accès à l’application (login).
  • Dans tous les cas, indépendamment du fondement de la responsabilité, la responsabilité du Fournisseur est limitée au montant des droits d’utilisation des 12 (douze) derniers mois précédents la survenance du dommage.

Force majeure

  • La responsabilité de l’une ou l’autre des Parties ne pourra pas être engagée dans l’hypothèse où l’inexécution ou le retard d’exécution d’une de ses obligations est due à un cas de force majeure, qui empêche ou perturbe gravement l’exécution du Contrat.
  • Sont considérés comme des cas de force majeure notamment, mais non limitativement, les conflits sociaux affectant l’une ou l’autre des Parties, les cas d’incendie, explosion, actes de vandalisme, émeutes, mouvements populaires, actes de terrorisme, sabotage, attentats, tempêtes, grêle et neige, fumées, chutes d’appareils de navigation aérienne et d’engins spatiaux, chocs d’un véhicule terrestre, dégâts des eaux, gel, grève, confinement, actes de gouvernement, embargo, pénurie de matières premières, d’électricité, épidémie, pandémie, et toute restriction gouvernementale ou administrative consécutive à une épidémie, pandémie, maladie ou un risque sanitaire.

Durée

  • Le contrat entre en vigueur au jour de sa signature.
  • Le contrat est conclu pour une durée initiale d’une année.
  • Il sera ensuite renouvelé automatiquement d’année en année, sauf résiliation donnée par pli recommandé à l’autre partie avec un préavis de 3 mois pour la prochaine échéance.
  • Les Parties sont libres d’invoquer la résiliation immédiate du contrat pour de justes motifs dans les circonstances suivantes :
    • Si le Client tombe en faillite ou qu’une requête de mise en faillite est introduite contre lui.
    • Si le Client est en demeure de ses obligations de paiement et que les démarches de rappels du Fournisseur sont restées sans effet.
    • Si le Client contrevient gravement à ses obligations.

Effets de la résiliation

  • A l’échéance du contrat, le Client n’aura plus accès à l’application.
  • A l’échéance du contrat, le Fournisseur s’engage à restituer au Client les données principales sur un format informatique standardisé. Le Fournisseur se réserve le droit de supprimer de la plateforme de manière irréversible toutes les données relatives au Client.

Confidentialité

  • Le Fournisseur s’engage à garder confidentielles toutes les informations qui auraient été portées à sa connaissance dans le cadre de la préparation et de l’exécution du présent contrat. Cet engagement est valable envers tous les tiers non autorisés, sauf si la transmission d’informations s’avère nécessaire à l’accomplissement des obligations contractuelles ou légales du Fournisseur.

Divers

  • Le Fournisseur se réserve le droit de modifier les présentes conditions générales d’utilisation. Dans ce cas, il incombe au Fournisseur de communiquer les modifications au Client. A défaut de contestation écrite par le Client dans un délai de 30 jours à compter de leur communication, les modifications sont réputées acceptées.
  • Les conditions générales en vigueur sont publiées sur le site internet www.gammadia.ch.

Références

  • Le Fournisseur se réserve le droit de citer le nom du Client à titre de référence, notamment sur son site internet, sa communication online ou ses brochures.

For et Droit applicable

  • Le contrat et les conditions générales sont soumis au droit suisse.
  • Tout litige résultant de sa conclusion, de son interprétation ou de son exécution sera soumis à la compétence exclusive des Tribunaux du Canton de Vaud.
  • Est réservé le recours au Tribunal Fédéral.

Contract

  • These general conditions of use set out the commercial relationship between the Client and gammadia AG (hereinafter also referred to as “the Supplier”).
  • By accepting these general conditions, the Client shall be given access to the tools developed by gammadia AG, in line with the software and modules they have chosen.
  • These general conditions of use aim to specify the conditions under which the Client uses the tipee application, including the provision of the software, the use of the software online, the hosting of the Client’s data, and the conditions for the support services provided to the Client.

Supply and use of the software

  • Throughout the length of the contract, the Supplier shall provide the Client with the latest version of the tipee software. In order to achieve this, the Supplier shall host the software on a shared platform that the Client can access via the internet.
  • The Supplier shall regularly advance and improve the software with updates to both the functionality and the technology used. It shall also take steps to eliminate software errors to the extent that this is technically possible.

Right of use

  • Throughout the duration of the contract, the Supplier shall grant the Client a non-transferable and non-exclusive right to use the tipee software under the conditions set out herein.
  • The Client may not reproduce or modify the software, nor make it available to third parties, whether in exchange for payment or otherwise.
  • All intellectual property rights with respect to the tipee software remain the exclusive property of the Supplier. This also applies to bespoke improvements or adjustments requested by the Client.

Data hosting

  • The Supplier shall provide the Client with space to host their data used within the application.
  • The Supplier shall ensure that the hosted data is available via the internet, to the extent that this is technically possible.
  • The Supplier shall take reasonable organisational and technical measures to prevent the loss of or unauthorised access to this data. A description of these measures is available on the Supplier’s website.
  • The Client undertakes not to store any data on the platform if handling this data would violate the law or any agreements entered into with the Supplier or with third parties.
  • In the event that the Client breaches any of its contractual or legal obligations, or if there is reasonable cause to suspect that the data being hosted is illegal or infringes on the rights of third parties, the Supplier shall have the right to restrict or prevent access to the application on a temporary or permanent basis. With respect to illegal use or infringement on the rights of third parties, “reasonable cause” shall be understood to refer to legal procedures initiated by the courts, the authorities, or the persons affected. The Supplier must immediately inform the Client of any restriction imposed. The Client is the sole owner of the data and, throughout the length of the contract, may request that the Supplier send it all or part of the data. In such a case, the Supplier cannot invoke any right to retain the data. The data shall be transferred via a data network, in the format used by the Supplier. The Supplier may impose a fee for transferring data if the Client makes repeated or onerous requests that require significant work to achieve.

Obligations of the Supplier

  • Adaptations, modifications and any other maintenance to the tipee software may only result in a temporary suspension of the services or accesses thereto in the event that if this is unavoidable for technical reasons. As far as possible, the Supplier shall provide the Client with at least two days’ notice of any foreseeable technical work.
  • In the event of a significant loss of service, whereby the software cannot be used or its use is severely limited, measures shall be taken to restore the service typically within two hours of the problem being reported. The Supplier undertakes to ensure maximum availability for the tipee software.

Obligations of the Client

  • The Client undertakes to use the tipee software only for the purposes set out in the contract. The Client is exclusively liable for the content that it and its users generate, transfer or process through use of the tipee software.
  • The Client is responsible for the system configuration and technical requirements, in particular with respect to the equipment, internet browser and network connections required to operate tipee.
  • The Client is responsible for taking appropriate measures to prevent unauthorised access by third parties. In particular, it shall train its staff on how to correctly use online software, and the importance of carefully managing their login credentials.
  • The Client undertakes to ensure that the login credentials for the application are used appropriately. As a result, the Client shall note that generic logins may not be used by its users, and shall also ensure that its employees do not share their login credentials.

Technical support

  • The Supplier shall respond to the Client’s enquiries concerning use of the software on from Monday to Friday between 9:00 and 12:00, and between 13:00 and 17:00, excluding public holidays.
  • Enquiries shall be responded to as quickly as possible. Any delay in handling enquiries shall not be subject to penalties or fees for damage caused.
  • The support provided does not cover any software or services offered by third parties, such as interfaces with other applications. This support shall be covered through a separate service.

Rates

  • The subscription is invoiced annually from the date on which it is made available. This includes the right to use the technology, research and development, bugfixes, new versions, technical support, and the maintenance costs for all work needed to ensure that our applications are running properly. Hosting, backups and security certificates are also included in the subscription fee. The following requests shall be invoiced in line with the article below (“Requests outside of the scope of the contract”): specific adjustments or additions requested by the Client or by third parties, operation of IT equipment (servers, computers, printers, etc.), networks or other internet connections, and issues arising from a malfunction of the IT equipment or network.
  • The annual subscription fee is adjusted each year in line with the Client’s headcount. If the headcount increases, the additional amount shall also be invoiced in line with the rates set out in the proposal. If the headcount decreases, the subscription fee shall be revised downwards.

Requests outside of the scope of the contract

  • Data integration, data recovery, and any programming, training or maintenance work not included in these general conditions are subject to the below rates:
  • Training and support: CHF 180/hour
  • Travel: CHF 140/hour
  • Consulting and development: CHF 250/hour.

Invoicing and payment

  • The service is invoiced in Swiss francs upon installation, and invoices are payable within 30 days.
  • VAT: The prices of our items and products are given excluding tax, and are subject to statutory VAT, which shall be charged to the Client in addition to the base price.

Adjustment of fees

  • The Supplier reserves the right to adjust the fees for its annual subscriptions, its applications and its services for the next contractual period. The Supplier shall inform the Client of any changes to the fees in advance and in a suitable format. Unless the Client makes a written response within 30 days, the adjusted fees shall be assumed to have been accepted.

Late payment or non-payment

  • Should the Client fail to make a payment by the deadline set out on the invoice, the Supplier shall send a payment request by registered letter, which must be complied with within 10 days.
  • The Supplier reserves the right to apply late payment penalties, which shall be calculated starting from the date on which the invoice falls due, at a rate of 5% per year. An additional fee may also be charged to cover the cost of recovering the sums owed.
  • The Supplier has the right to partially or fully suspend the use of the software until invoices are paid in full, or use the non-payment of invoices as grounds to terminate the contract with immediate effect.

Warranty and liability

  • The Supplier guarantees that its software will work correctly, within the limits set out in the law and these general conditions.
  • The Supplier accepts no liability towards the Client with respect to fulfilling its contractual obligations or for the loss of data. This also applies to any damage arising directly or indirectly from use of the software.
  • In general, the Supplier accepts no liability for direct or indirect damage caused by a malfunction of the software provided.
  • The Supplier accepts no liability for direct or indirect damage caused by non-compliant use of application login credentials.
  • In any case, regardless of the grounds for liability, the Supplier’s liability is limited to the usage fees paid in the 12 (twelve) months leading up to the moment the damage arose.

Force majeure

  • The Parties may not be considered liable for a delay or failure to fulfil their contractual obligations in the event that this is made impossible or significantly challenging by force majeure circumstances.
  • Force majeure includes but is not limited to the following: labour disputes affecting either of the Parties, fires, explosions, vandalism, riots, protests, terrorism, sabotage, attacks, storms, hail and snow, smoke and fumes, aircraft or spacecraft falling from the sky, vehicular collisions, water damage, ice, strikes, quarantine, measures taken by the government, embargoes, shortages of raw materials or electricity, epidemics, pandemics, and any governmental or administrative restriction put in place as a result of an epidemic, pandemic, illness or health risk.

Duration

  • The contract comes into force on the date on which it is signed.
  • The contract is agreed for an initial period of one year.
  • It shall then be automatically renewed on a yearly basis, unless one party provides the other with written notice of their wish to cancel the contract, to be sent by registered post at least 3 months prior to the next renewal date.
  • The following circumstances represent just cause for the Parties to immediately terminate the contract:
    • If the Client is bankrupt or subject to bankruptcy proceedings.
    • If the Client fails to fulfil its payment obligations in spite of reminders and recovery efforts undertaken by the Supplier.
    • If the Client is in serious breach of its obligations.

Effects of cancellation

  • When the contract expires, the Client shall lose access to the application.
  • When the contract expires, the Supplier undertakes to return the Client’s main data in a standard digital format. The Supplier reserves the right to permanently delete all of the Client’s data from the platform.

Confidentiality

The Supplier undertakes to treat all information that it receives or learns when preparing or fulfilling this contract as confidential information. The information shall not be disclosed to unauthorised third parties, unless doing to is required for the Supplier to meet its contractual or legal obligations.

Miscellaneous conditions

  • The Supplier reserves the right to amend these general conditions of use. If it does so, it shall inform the Client of the amendments made. Unless the Client makes a written response within 30 days, these amendments shall be assumed to have been accepted.
  • The general conditions currently in force are published on the webpage www.gammadia.ch.

References

The Supplier reserves the right to include the Client’s name as a reference, in particular on its website, in its online marketing and in its brochures.

Applicable law and jurisdiction

  • The contract and general conditions are subject to Swiss law.
  • Any dispute arising from the signature, interpretation or implementation of the contract falls exclusively under the jurisdiction of the courts of the canton of Vaud.
  • The right of appeal to the Federal Supreme Court of Switzerland is reserved.

Allgemeine Nutzungsbedingungen

Vertrag

  • Die vorliegenden Allgemeinen Nutzungsbedingungen (AGB) regeln die Geschäftsbeziehung zwischen dem Kunden und gammadia AG (im Folgenden «Lieferant» genannt).
  • Mit der Annahme dieser Allgemeinen Nutzungsbedingungen wird dem Kunden je nach Software und gewählten Modulen Zugriff auf die von gammadia AG entwickelten Tools gewährt.
  • In den vorliegenden Allgemeinen Nutzungsbedingungen werden die Bedingungen für die Nutzung der Applikation tipee durch den Kunden festgelegt, das heisst die Lieferung der Software und ihre Nutzung über das Internet, das Hosting der Kundendaten und die Bestimmungen über Support und Unterstützung für den Kunden.

Lieferung und Nutzung der Software

  • Während der Dauer des Vertrags stellt der Lieferant dem Kunden die Software tipee in ihrer aktuellen Version zur Verfügung. Zu diesem Zweck speichert er die Software auf einer gemeinsamen Plattform, auf die der Kunde über das Internet Zugriff hat.
  • Der Lieferant entwickelt die Software regelmässig weiter und verbessert sie durch Funktionsupdates und technische Upgrades. Er sorgt ausserdem nach Massgabe der technischen Möglichkeiten für die Beseitigung von Softwarefehlern.

Nutzungsrecht

  • Der Lieferant räumt dem Kunden für die Dauer des Vertrags ein nicht ausschliessliches und nicht übertragbares Nutzungsrecht für die Software tipee gemäss dem vorliegenden Vertrag ein.
  • Der Kunde ist nicht berechtigt, die Software zu reproduzieren oder zu ändern, und darf sie ausserdem Dritten nicht gegen Entgelt oder kostenlos zur Verfügung stellen.
  • Alle geistigen Eigentumsrechte an der Software tipee bleiben ausschliessliches Eigentum des Lieferanten. Dies gilt auch für kundenspezifische Entwicklungen oder vom Kunden verlangte spezifische Parametrisierungen.

Datenhosting

  • Der Lieferant stellt dem Kunden einen Platz für die Speicherung seiner mit der Nutzung der Applikation verbundenen Daten zur Verfügung.
  • Der Lieferant sorgt im Rahmen der technischen Möglichkeiten dafür, dass die gespeicherten Daten über das Internet zugänglich sind.
  • Der Lieferant ergreift angemessene organisatorische und technische Massnahmen gegen Datenverlust und unberechtigten Zugriff Dritter auf diese Daten. Die Beschreibung dieser Massnahmen ist auf der Website des Lieferanten abrufbar.
  • Der Kunde verpflichtet sich, auf dem Speicherplatz keinerlei Inhalte zu speichern, deren Verarbeitung gegen ein geltendes Gesetz oder Vereinbarungen mit dem Lieferanten oder Dritten verstossen würde.
  • Falls der Kunde eine seiner vertraglichen oder gesetzlichen Pflichten verletzen oder triftige Gründe für die Annahme vorliegen sollten, dass die gespeicherten Daten gesetzwidrig sind oder die Rechte Dritter beeinträchtigen, ist der Lieferant berechtigt, den Zugriff auf die Applikation vorübergehend oder endgültig einzuschränken oder zu sperren. Unter triftigen Gründen für die Annahme der Gesetzwidrigkeit oder der Verletzung der Rechte Dritter sind Schritte zu verstehen, die von Gerichten, Behörden oder betroffenen Personen eingeleitet werden. Der Lieferant hat den Kunden unverzüglich über jede Einschränkung zu unterrichten. Der Kunde ist alleiniger Eigentümer der Daten und kann daher während der gesamten Vertragsdauer von dem Lieferanten verlangen, ihm die Daten ganz oder teilweise zu übermitteln, ohne dass der Lieferant ein Zurückbehaltungsrecht geltend machen kann. Die Datenübermittlung erfolgt durch Übertragung über ein Datennetz in dem vom Lieferanten verwendeten Format. Der Lieferant ist berechtigt, für die Datenübermittlung eine Kostenerstattung zu verlangen, wenn wiederholte Anfragen oder besondere Anforderungen des Kunden einen erheblichen Aufwand zur Folge haben.

Pflichten des Lieferanten

  • Anpassungen, Änderungen oder Wartungsarbeiten der Software tipee dürfen nur dann zu einer vorübergehenden Unterbrechung oder Beeinträchtigung der Erreichbarkeit führen, wenn dies aus technischen Gründen notwendig ist. Nach Möglichkeit setzt der Lieferant den Kunden spätestens zwei Tage vor einem planbaren Eingriff in Kenntnis.
  • Wenn eine schwere Störung vorliegt und die Nutzung der Software nicht mehr möglich oder stark eingeschränkt ist, finden die Arbeiten zur Wiederherstellung des Service in der Regel innert zwei Stunden nach Feststellung des Problems statt. Der Lieferant bemüht sich, die höchste Verfügbarkeit seiner Software tipee zu garantieren.

Pflichten des Kunden

  • Der Kunde verpflichtet sich, die Software tipee ausschliesslich für die vertraglich vorgesehenen Zwecke zu nutzen. Er ist allein verantwortlich für die Inhalte, die er selbst und seine Nutzer mithilfe der Software tipee generieren, übertragen oder nutzen.
  • Der Kunde ist für die Systemkonfiguration und die technischen Voraussetzungen verantwortlich, insbesondere in Bezug auf die Hardware, den Internetbrowser und die Netzanschlüsse, die für die Nutzung von tipee erforderlich sind.
  • Der Kunde ist verpflichtet, durch geeignete Sicherheitsvorkehrungen den unberechtigten Zugriff Dritter zu verhindern. Er sorgt insbesondere dafür, dass seine Mitarbeitenden für die ordnungsgemässe Nutzung von Softwareapplikationen über das Internet und die Bedeutung einer strikten Verwaltung der Zugangsdaten sensibilisiert werden.
  • Der Kunde verpflichtet sich zur Einhaltung einer vertragskonformen Nutzung der Zugriffsrechte auf die Applikation. Daher beachtet der Kunde, dass es nicht zulässig ist, generische Zugänge für seine Nutzer zu erstellen, und er sorgt ausserdem dafür, dass seine Mitarbeitenden ihre Zugangsdaten nicht weitergeben.

Technischer Support und Unterstützung

  • Der Lieferant beantwortet die Anfragen des Kunden im Zusammenhang mit der Nutzung der Software an Werktagen montags bis freitags von 9.00 Uhr bis 12.00 Uhr und von 13.00 Uhr bis 17.00 Uhr.
  • Die Anfragen werden schnellstmöglich bearbeitet. Eine eventuelle Verzögerung bei der Bearbeitung der Anfragen führt nicht zur Zahlung von Schadenersatz oder zur Anwendung von Vertragsstrafen.
  • Die angebotene Unterstützung erstreckt sich nicht auf Software- und Dienstleistungsangebote von Dritten (zum Beispiel: Schnittstellen mit anderen Applikationen). Letztere sind Gegenstand eines gesonderten Angebots.

Preise

  • Das Abonnement wird ab Inbetriebsetzung jährlich in Rechnung gestellt. Im Preis inbegriffen sind die Nutzung der Technologie, Forschung und Entwicklung, Fehlerbehebung, neue Versionen, technischer Support und eine Pauschale für die technische Wartung, die alle für das reibungslose Funktionieren unserer Applikationen notwendigen Interventionen abdeckt. Hosting, Back-ups und Sicherheitszertifikate sind ebenfalls im Abonnement inbegriffen. Die folgenden Leistungen sind nicht inbegriffen und werden gemäss dem nachstehenden Artikel (nicht im Vertrag enthaltene Leistungen) in Rechnung gestellt: vom Kunden oder von Dritten ausdrücklich verlangte Änderungen oder Ergänzungen, das ordnungsgemässe Funktionieren der IT-Ausstattung (Server, Computer, Drucker usw.) sowie der Netzwerke und sonstigen Internetverbindungen, die Folgen einer Fehlfunktion der IT-Ausstattung oder des Netzwerks.
  • Der Preis für das Jahresabonnement wird von Jahr zu Jahr abhängig von der Entwicklung des Personalbestands des Kunden angepasst. Bei einer Erhöhung wird das zusätzliche Volumen ebenfalls entsprechend den Preisen des Angebots angepasst. Bei einer Verringerung wird der Preis des Abonnements gesenkt.

Nicht im Vertrag enthaltene Leistungen

  • Jegliche Programmier-, Schulungs- oder technischen Wartungsleistungen, die in den vorliegenden Allgemeinen Nutzungsbedingungen nicht vorgesehen sind, sowie die Integration und Wiederherstellung von Daten werden wie folgt in Rechnung gestellt:
  • Schulung und Betreuung: CHF 180.-/Stunde
  • An-/Rückfahrt: CHF 140.-/Stunde
  • Beratung und Entwicklungen: CHF 250.-/Stunde

Rechnungsstellung und Zahlung

  • Die Leistungen werden bei der Installation in Schweizer Franken in Rechnung gestellt und sind innert 30 Tagen ab Ausstellung der Rechnung zahlbar.
  • MWST: Die Preise für unsere Leistungen und Produkte verstehen sich ohne Steuern und unterliegen der geltenden Mehrwertsteuer, die dem Kunden zusätzlich in Rechnung gestellt wird.

Preisänderung

  • Der Lieferant behält sich das Recht vor, die Preisbedingungen seiner Jahresabonnements, seiner Applikationen und seiner Serviceleistungen für die nächste vertragliche Laufzeit zu ändern. Der Lieferant teilt die Preisänderungen in angemessener Weise im Voraus mit. Erhebt der Kunde nicht innert 30 Tagen nach ihrer Mitteilung schriftlich Widerspruch, gilt die Preisänderung als angenommen.

Zahlungsverzug oder Zahlungsausfall

  • Wird die Zahlung am Fälligkeitsdatum der Rechnung nicht geleistet, sendet der Lieferant dem Kunden eine Mahnung per eingeschriebener Post und setzt ihm eine Frist von 10 Tagen für die Erfüllung seiner Zahlungsverpflichtung.
  • Der Lieferant behält sich das Recht auf Erhebung von Verzugszinsen, die ab dem Fälligkeitsdatum der Rechnung zum Satz von 5 % jährlich berechnet werden, sowie gegebenenfalls eines zusätzlichen Betrags für Inkassogebühren und Gerichtskosten vor.
  • Der Lieferant ist berechtigt, die Nutzung der Software bis zur vollständigen Bezahlung der Rechnungen ganz oder teilweise zu unterbrechen oder den Vertrag aus wichtigem Grund fristlos zu kündigen.

Garantie und Haftung

  • Der Lieferant garantiert das reibungslose Funktionieren seiner Software im Rahmen der gesetzlichen Bestimmungen und der vorliegenden Allgemeinen Nutzungsbedingungen.
  • Der Lieferant lehnt jede Haftung gegenüber dem Kunden bei der Erfüllung seiner Vertragspflichten oder für den Verlust von Daten ab. Dieser Ausschluss gilt auch für Schäden, die direkt oder indirekt durch die Nutzung der Software entstehen.
  • Der Lieferant lehnt grundsätzlich jede Haftung für direkte oder indirekte Schäden ab, die durch mangelhaftes Funktionieren der zur Verfügung gestellten Software verursacht werden.
  • Der Lieferant lehnt jede Haftung für direkte oder indirekte Schäden ab, die durch eine nicht vertragskonforme Nutzung des Zugriffs auf die Applikation (Login) entstehen.
  • Auf jeden Fall ist die Haftung des Lieferanten unabhängig von der Haftungsgrundlage auf die Summe der Nutzungsrechte der letzten 12 (zwölf) Monate vor Eintritt des Schadens begrenzt.

Höhere Gewalt

  • Die Haftung beider Vertragsparteien ist ausgeschlossen, falls die Nichterfüllung oder verzögerte Erfüllung einer ihrer Verpflichtungen auf einen Fall höherer Gewalt zurückzuführen ist, der die Erfüllung des Vertrags verhindert oder erheblich beeinträchtigt.
  • Als Fälle höherer Gewalt gelten insbesondere, sind jedoch nicht beschränkt auf Arbeitskämpfe bei einer der Vertragsparteien, Brände, Explosionen, Vandalismus, Aufstände, Ausschreitungen, Terroranschläge, Sabotage, Attentate, Unwetter, Hagel und Schnee, Rauch, Abstürze von Luft- und Raumfahrzeugen, Aufprall eines Landfahrzeugs, Wasserschäden, Frost, Streik, Lockdown, staatliche Massnahmen, Embargo, Rohstoffmangel, Strommangel, Epidemie, Pandemie und jede staatliche oder behördliche Einschränkung infolge einer Epidemie, Pandemie, Krankheit oder Gesundheitsgefährdung.

Dauer

  • Der Vertrag tritt am Tag der Unterzeichnung in Kraft.
  • Der Vertrag wird zunächst für ein Jahr geschlossen.
  • Anschliessend verlängert er sich automatisch von Jahr zu Jahr, sofern er nicht per eingeschriebener Post an die andere Vertragspartei mit einer Frist von drei Monaten auf den nächsten Termin gekündigt wird.
  • Die Vertragsparteien sind in folgenden Fällen zur fristlosen Kündigung des Vertrags aus wichtigem Grund berechtigt:
    • Der Kunde gerät in Insolvenz oder es wird ein Insolvenzantrag gegen ihn gestellt.
    • Der Kunde ist mit seinen Zahlungsverpflichtungen in Verzug und die Mahnungen des Lieferanten sind wirkungslos geblieben.
    • Der Kunde verletzt seine Verpflichtungen erheblich.

Wirkung der Kündigung

  • Bei Vertragsablauf hat der Kunde keinen Zugriff mehr auf die Applikation.
  • Bei Vertragsablauf verpflichtet sich der Lieferant, dem Kunden wichtige Daten in einem standardisierten Computerformat zurückzugeben. Der Lieferant behält sich das Recht vor, sämtliche Daten in Bezug auf den Kunden irreversibel von der Plattform zu löschen.

Vertraulichkeit

Der Lieferant verpflichtet sich, die Vertraulichkeit sämtlicher Informationen, die ihm im Rahmen der Vorbereitung und Erfüllung des vorliegenden Vertrags bekannt geworden sind, zu wahren. Diese Verpflichtung gilt gegenüber allen unberechtigten Dritten, sofern die Übermittlung von Informationen nicht für die Erfüllung der vertraglichen oder gesetzlichen Verpflichtungen des Lieferanten erforderlich ist.

Verschiedenes

  • Der Lieferant behält sich das Recht vor, die vorliegenden Allgemeinen Nutzungsbedingungen zu ändern. In diesem Fall ist der Lieferant verpflichtet, die Änderungen dem Kunden mitzuteilen. Erhebt der Kunde nicht innert 30 Tagen nach ihrer Mitteilung schriftlich Widerspruch, gelten die Änderungen als angenommen.
  • Die geltenden Allgemeinen Nutzungsbedingungen können auf der Website www.gammadia.ch abgerufen werden.

Referenzen

  • Der Lieferant behält sich das Recht vor, den Namen des Kunden als Referenz zu verwenden, insbesondere auf seiner Website, in seiner Online-Kommunikation oder in seinen Broschüren.

Gerichtsstand und anwendbares Recht

  • Der Vertrag und die Allgemeinen Nutzungsbedingungen unterliegen schweizerischem Recht.
  • Alle Streitigkeiten, die aus dem Abschluss des Vertrags, seiner Auslegung oder seiner Ausführung entstehen, unterliegen der ausschliesslichen Zuständigkeit der Gerichte des Kantons Waadt.
  • Vorbehalten sind Beschwerden beim Bundesgericht.
